Corporate Governance and Social Responsibility

The Company is committed to high standards of both corporate governance and corporate social responsibility.

Our Corporate Responsibility Committee provides governance for the Company’s corporate responsibility and reports bi-annually to the Executive Committee. The Board of Directors and the Executive Committee fully support the work of the CR Committee through its sponsor, John Gibney, our Finance Director.

The structure of the Board of Directors and our Board Committees as well as information on our system of internal control and risk management is described in detail in the Corporate Governance Report in the Britvic plc Annual Report.

Audit Committee

The Audit Committee is chaired by Michael Shallow and its other members are Ben Gordon and Bob Ivell. The Audit Committee meets not less than three times a year and has responsibility for, amongst other things, monitoring the integrity of the Group’s financial statements and reviewing its summary financial statements.

Remuneration Committee

The Remuneration Committee is chaired by Bob Ivell and its other members are Michael Shallow and Ben Gordon. The Remuneration Committee meets not less than three times a year and has responsibility for making recommendations to the Board.

Nomination Committee

The Nomination Committee is chaired by Gerald Corbett and its other members are Ben Gordon and Michael Shallow.

Corporate Social Responsibility

Britvic has always taken its responsibilities to the environment and our various stakeholder communities very seriously. Employees across our business work every day to meet high standards of quality and safety, as well as environmental awareness.

Through our Corporate Responsibility programme we have identified the areas where we plan to do more. We have given these workstreams the authority and impetus to deliver improvements wherever they are required.

The Plc Board and Executive Committee agree a formal strategy and deliverables across 5 key areas:-

  • Environment
  • Workplace
  • Supply Chain
  • Community

The strategy is sponsored by our Finance Director, and our Corporate Responsibility Committee (CRC) oversee delivery.

Our Corporate Responsibility programme is subject to a long-term vision and plan and our targets are milestones that will help us to assess progress and to refine our policies and practices.
